Key takeaways
- A UAE company that stops trading or is liquidated must apply to the FTA for corporate tax deregistration within 3 months of the triggering event (FTA Decision No. 6 of 2023, in force since 1 June 2023).
- Corporate tax deregistration is done on EmaraTax through the "Deregister" option on your corporate tax registration, and the FTA charges no fee for it (FTA service page, checked 4 November 2026).
- The FTA will not deregister a taxable person until all corporate tax and administrative penalties are paid and the required returns, including the one up to the date of cessation, are filed (Federal Decree-Law No. 47 of 2022, Article 52).
- Missing the 3 month window costs AED 1,000 for the first month, repeating monthly on the same date up to a maximum of AED 10,000 (Cabinet Decision No. 75 of 2023, effective 1 August 2023).
- The FTA says it processes a complete deregistration application within 40 working days, and an information request can add up to another 40 working days (FTA service page, checked 4 November 2026).
Who has to deregister from corporate tax, and by when?
Any person registered for corporate tax must apply to deregister within 3 months of the event that ends the business, whether that's cessation, dissolution or liquidation. Article 52(1) of Federal Decree-Law No. 47 of 2022 creates the duty; FTA Decision No. 6 of 2023 sets the timeline.
The FTA's service page lists the situations it accepts: liquidation or bankruptcy, closure of business, merger, sale of business, duplicate TRN, change of place of effective management, closure of a permanent establishment, and re-domiciliation. For natural persons the 3 months run from the date the business or business activity ceases; for companies they run from the triggering event.
The clock starts on the event, not on the day your paperwork is ready. A licence cancellation certificate is one of the documents the FTA asks for, so order the steps with that date in mind. If you'd rather not track these dates by hand, the free UAE compliance calendar lists them for your company.

What must be settled before the FTA approves deregistration?
The FTA won't deregister you until you've paid all corporate tax and administrative penalties and filed the returns it requires, including the return for the tax period up to the date of cessation. That condition comes from Article 52(2) of Federal Decree-Law No. 47 of 2022.
Two practical blockers appear in the FTA's EmaraTax user manual. First, any pending application on your account, such as a change in tax period, holds up the deregistration request. Second, the FTA may ask for a final corporate tax return and will take time to review it. Return deadlines follow Article 53(1): no later than 9 months from the end of the relevant tax period, unless the FTA directs another date.
If you can't clear these conditions, the FTA has a fallback. Under Article 52(4) it may deregister a non-compliant person itself, effective from the later of the last day of the tax period in which the failure became apparent to it and the date the taxable person ceases to exist. That isn't an outcome to aim for, because the unpaid items stay with you.
How do you deregister for corporate tax on EmaraTax?
You apply online through the account you used to register, and the FTA requires UAE Pass to access its services. The steps below follow the FTA's EmaraTax user manual (checked 4 November 2026).
- Log in to EmaraTax with UAE Pass and open the Taxable Person dashboard.
- Click the "..." beside your registered corporate tax application and select Deregister.
- Read the instructions, tick the confirmation box and click Start.
- Complete the cessation or business activity details and upload supporting documents; applicant details are pre-filled and can't be edited here (use the Amend Taxable Person Details application for that).
- Review the declaration, tick it, click Submit and confirm.
- Note the reference number; once approved, the status becomes "Deregistered" and a Deregistration Certificate appears under Certificates.
The documents depend on the reason you pick. Accepted file types are PDF, JPG, PNG, JPEG and XLSX, up to 15 MB each.
| Reason for deregistration | Documents the FTA lists (as of 4 November 2026) |
|---|---|
| Liquidation, bankruptcy or closure of business | Licence cancellation document; financial statements up to the cancellation date |
| Closure of a permanent establishment | Licence cancellation document from the UAE licensing authority; financial statements up to the cancellation date |
| Sale of business | Sale agreement; licence cancellation or amended licence in the new owner's name; financial statements up to that date |
| Merger | Merger agreement; financial statements up to the merger date; licence cancellation or amendment |
| Duplicate TRN | Tax registration certificate of the other TRN |
How long does corporate tax deregistration take and what does it cost?
The FTA charges nothing, and says it processes a complete application within 40 working days of receiving it. Preparing and submitting the form takes about 20 minutes by the FTA's estimate; assembling the financial statements takes longer.
| Item | Position (FTA service page, checked 4 November 2026) |
|---|---|
| Government fee | Free of charge |
| Standard processing | 40 working days from receipt of the completed application |
| If the FTA asks for more information | Up to a further 40 working days after you resubmit |
| Deadline to answer an information request | 60 calendar days, after which the application may be rejected |
What is the penalty for deregistering late?
Late corporate tax deregistration costs AED 1,000, charged again on the same date each month, up to a maximum of AED 10,000. This is row 3 of the penalty table in Cabinet Decision No. 75 of 2023, which took effect on 1 August 2023 and was amended by Cabinet Decision No. 10 of 2024 (the amendment added a separate tax registration row and the consolidated text leaves this row unchanged).
| Failure | Penalty (as of 4 November 2026) | Legal basis |
|---|---|---|
| Not applying for deregistration within the specified timeframe | AED 1,000 on late submission, then AED 1,000 monthly on the same date, capped at AED 10,000 | Cabinet Decision No. 75 of 2023, row 3 |
| Deregistering without clearing tax and penalties | Not possible: the FTA won't approve until they're paid | Federal Decree-Law No. 47 of 2022, Article 52(2) |
What most guides don't tell you
Four sequencing points catch people out, and each follows from the rules above.
- The penalty targets late submission, not late approval. The row refers to failing to submit the application within the timeframe, so the FTA's 40 working day review doesn't count against you if you filed on time. Filing late and then waiting for approval, though, means the monthly charge keeps running until you do submit.
- You can't file before the licence is cancelled. For closures the FTA lists a licence cancellation document and financial statements up to the cancellation date as supporting documents. In practice that means closing your books to the cancellation date and cancelling the licence early enough to leave time inside the 3 months.
- A tax period change has to come first, and it has deadlines of its own. Liquidation is a valid reason to change a tax period under FTA Decision No. 5 of 2023, but the application must be made within 6 months after the end of the original tax period and before that period's return is filed. Because a pending change application blocks deregistration, decide early whether you need one.
- VAT and top-up tax are separate processes. The FTA runs VAT deregistration as its own service, and the domestic minimum top-up tax has its own registration and deregistration timelines under FTA Decision No. 12 of 2026. Closing the corporate tax file doesn't close either of them.
Which deadlines apply to your company?
Closing a company triggers several FTA, licensing and visa deadlines that don't line up neatly. Qawi's free UAE compliance calendar gives you your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.
Frequently asked questions
Does Pillar Two apply to my UAE business? Only if your company belongs to a multinational group with annual global revenue of EUR 750 million or more in the ultimate parent's consolidated financial statements, in at least two of the four preceding financial years. The domestic minimum top-up tax has applied to financial years starting on or after 1 January 2025, and its registration and deregistration timelines sit in a separate FTA decision (No. 12 of 2026), not in the ordinary corporate tax process (Ministry of Finance, checked 4 November 2026).
Does the UAE have withholding tax? The UAE corporate tax law sets withholding tax at 0% on state-sourced income of non-resident persons that isn't attributable to a UAE permanent establishment or nexus, unless the Cabinet sets another rate (Article 45 of Federal Decree-Law No. 47 of 2022, as replaced by Federal Decree-Law No. 40 of 2024, checked 4 November 2026).
What happens if my company's financial year changes? Your tax period only changes if the FTA approves an application, and liquidation is one of the qualifying reasons (FTA Decision No. 5 of 2023, Article 2). The application must be made within 6 months after the end of the original tax period, and an open change-of-period application stops the FTA from processing a deregistration request.
