Key takeaways
- Yes: a UAE sole establishment can become an LLC, but federal law has no single "convert" procedure. In practice the owner sells the establishment to a new LLC, and the licensing authority amends the licence.
- A sale of a business under the Commercial Transactions Law must be notarised and recorded in the commercial register or it is void, and creditors get at least 90 days to file claims.
- A sole establishment has no separate legal personality, so its owner stays personally liable for debts that arose before the sale was announced, unless creditors discharge them.
- A natural person's business is subject to corporate tax only above AED 1,000,000 turnover in a calendar year, while a new LLC must register for corporate tax within three months of incorporation or face an AED 10,000 penalty.
- UAE VAT treatment of the LLC's TRN is unsettled in published FTA guidance, so agree the sequence with a tax agent before converting.
Can a sole establishment be converted into an LLC in the UAE?
Yes, in practice. The Commercial Companies Law (Federal Decree-Law No. 32 of 2021) allows one person to incorporate and own an LLC, and licensing authorities routinely amend an existing licence so the business continues under the new LLC. Federal law does not, however, set out a dedicated conversion procedure for a sole establishment, because a sole establishment is not a company.
Al Tamimi's 2019 analysis described the conversion as a licensing-authority practice, adopted mainly so the trade licence number can stay the same, resting on two legal steps: forming the LLC, then transferring the business to it. It was written under the older Commercial Transactions Law, which Federal Decree-Law No. 50 of 2022 has since replaced, so confirm the current approach with your authority in writing. Free zones have their own company forms and rules, so a free zone licence holder should ask that free zone.
How does the conversion work legally?
The conversion works as a sale of a commercial establishment from you, as sole owner, to the new LLC. Federal Decree-Law No. 50 of 2022 sets the formalities, and skipping them has real consequences.
| Requirement | What the law says | Article |
|---|---|---|
| Notarised and recorded | The transfer must be attested by a notary public and recorded in the commercial register, otherwise it is null and void | Art. 39 |
| Effect on third parties | Title passes against third parties only from the date the transfer is recorded and a summary is published | Art. 40 |
| Publication | A summary of the sale (parties, assets, total price, creditors' right to object) is published at the buyer's request and expense | Art. 41 |
| Creditor objection | Creditors can object within 10 business days of the last publication | Art. 41(2) |
| Creditor claims period | The buyer sets a period of at least 90 days from publication for creditors to submit statements of debt | Art. 43(1) |
| Price payment | The buyer must not pay the price until the court decides any objections, unless the seller obtains interim relief | Art. 41(4) |

What happens to debts, staff and contracts after conversion?
You stay personally liable for debts that arose before the sale was announced, unless the creditors discharge you (Article 43(4) of the Commercial Transactions Law); a sole establishment has no separate legal personality to carry them.
The LLC, as buyer, answers only for debts claimed inside the period and still unpaid (Article 43(2) and (3)).
For staff and visas, authorities often amend the existing licence rather than issue a new one, which can let the licence number, establishment card and employee records carry over. Al Tamimi reported that in 2019, but no authority we checked publishes a guarantee, so confirm it before telling employees nothing changes. Contracts do not move automatically either; check each for assignment clauses.
What changes for corporate tax and VAT?
Corporate tax changes the most. A natural person running a sole establishment is subject to corporate tax only if turnover from the business exceeds AED 1,000,000 in a calendar year (Cabinet Decision No. 49 of 2023, Article 2), and wages, personal investment and real estate investment income do not count towards that figure. An LLC is a juridical person, so it registers in its own right.
| Item | Sole establishment (owner is a natural person) | LLC (juridical person) |
|---|---|---|
| Legal personality | None; the owner is the business | Separate legal entity |
| Owner's liability | Personal | Limited to the shareholder's share of the capital |
| Corporate tax registration | Needed once turnover passes AED 1,000,000 in a calendar year | Within 3 months of incorporation (FTA Decision No. 3 of 2024); AED 10,000 penalty if late (Cabinet Decision No. 10 of 2024) |
| Small Business Relief | Available to resident natural and juridical persons | Available if revenue is AED 3,000,000 or less in the current and all previous tax periods |
Say a Dubai trading business bills AED 800,000 a year as a sole establishment: below the natural-person threshold, so no corporate tax. After conversion the LLC must register and file even if Small Business Relief brings its taxable income to nil; that is the counter-case to converting early.

Small Business Relief now covers tax periods ending on or before 31 December 2029, after Ministerial Decision No. 131 of 2026 extended it from 31 December 2026. It is elected each tax period, and Qualifying Free Zone Persons cannot use it.
Ministerial Decision No. 133 of 2023 provides business restructuring relief so that moving a whole business into a company for shares need not trigger a taxable gain. It contemplates a natural person as transferor (Article 8(2)(b)), but speaks of both parties being Taxable Persons, and a natural person is taxable only above AED 1,000,000 turnover. Smaller owners should ask an adviser rather than assume it applies.
For VAT, a transfer of a business as a going concern is outside VAT under Article 7(2) of Federal Decree-Law No. 8 of 2017 if the buyer is a taxable person and continues the same business. FTA clarification VATP015 counts a buyer as a taxable person if it is registered, has applied under the mandatory rules, or has had a voluntary application accepted. A newly formed LLC may not meet that test on day one, and a July 2025 Gulf News commentary says owners are being advised to deregister the old TRN and register the LLC afresh. That is an adviser's view, not published FTA guidance, so raise it with your tax agent first.
How do you convert a sole establishment to an LLC, step by step?
Your authority's own checklist overrides this sequence.
- Ask your licensing authority (for Dubai mainland, the Department of Economy and Tourism) whether it will amend the existing licence to an LLC, and which documents it needs.
- Settle fines and government dues on the sole establishment.
- Draft the Memorandum of Association and set the LLC's shareholders, manager, capital and activities.
- Sign the sale agreement transferring the business to the LLC and have it notarised.
- Record the transfer in the commercial register, publish the summary, and let the objection and claims periods run.
- Have the authority amend the licence to show the LLC.
- Register the LLC for corporate tax on EmaraTax within three months of incorporation, and sort out its VAT position with the FTA.
- Update the bank, establishment card, employee visas and key contracts.
The FTA expects changes to registered details within 20 working days; its amendment service lists name, address, activities, licence amendment and authorised signatory.
What does converting cost and how long does it take?
No authority publishes one all-in fee or timeline, because the conversion combines licence amendment, notarisation, publication and a new Memorandum. Treat any package price as an estimate until it is itemised, with government charges separated from service fees. LLC capital must be sufficient for its object (Article 76 of the Commercial Companies Law); no figure appears in the text we reviewed, so ask your authority whether it applies a minimum.
What most guides don't tell you
The licence number may stay, but the legal entity does not. Banks and customers keep the same details on file, so the conversion looks cosmetic. The counterparty is now a different legal person, so contracts, bank mandates and import codes need re-papering.
Your old liability does not move with the licence. Article 43(4) leaves you liable for pre-announcement debts, so an owner who skips publication keeps the exposure and misses the protection they converted for.
VAT timing is where conversions snag. The going-concern rule expects a taxable buyer on the transfer date, but the LLC does not exist before conversion. Plan the registration sequence with your tax agent in advance.
Which deadlines apply to your company?
A conversion sets off several dated obligations at once: the FTA's 20 working days, the three-month corporate tax registration window and the creditor periods. The free UAE compliance calendar turns them into a PDF and calendar file personalised from a few questions.
Frequently asked questions
How do I increase share capital in a UAE company?
An LLC's share capital is fixed in its Memorandum of Association, so an increase means a shareholder resolution and an amended Memorandum registered with your licensing authority. Notarisation and fees vary by authority, so ask for its checklist first.
How do I change the manager or director of my company?
Appointing a new manager normally needs a shareholder resolution and an amendment registered with your licensing authority, then updates to your bank signatories and visas. Tell the FTA about a new authorised signatory within 20 working days of the change.
How do I update my company address with the free zone?
Submit the new tenancy or office agreement to your free zone or licensing authority, which amends the licence. Then update the FTA within 20 working days, because a change of principal place of business is a notifiable change, and tell your bank.
What is a board resolution and when do I need one in the UAE?
A board resolution is the written record of a formal decision by a company's directors or managers; where there is no board, a shareholders' resolution does the same job. Licensing authorities and banks commonly ask for one when you change shareholders, managers, capital or the company's legal form.
