Key takeaways
- The UAE penalty for registering late for corporate tax is a fixed AED 10,000, charged by the Federal Tax Authority (FTA) when a company or individual misses its registration deadline (as of October 2026).
- Free zone companies are not excused: the FTA's registration deadlines for resident juridical persons expressly include Free Zone Persons, so a free zone company that expects a 0% rate still has to apply on time.
- The FTA waives the AED 10,000 late registration penalty automatically if the taxpayer files its first corporate tax return within seven months of the end of its first tax period, instead of the usual nine months.
- A UAE company incorporated on or after 1 March 2024 must apply for corporate tax registration within three months of incorporation; a resident individual running a business above the turnover threshold applies by 31 March of the following year.
- If the penalty was already paid and the waiver conditions are met, the FTA credits the AED 10,000 back to the taxpayer's EmaraTax corporate tax account, and a refund can be requested.
What is the penalty for late corporate tax registration in the UAE?
The penalty is a fixed AED 10,000 for failing to submit a corporate tax registration application within the deadline set by the FTA. The Ministry of Finance announced it as an amendment to the penalty schedule in Cabinet Decision No. 75 of 2023, made by Cabinet Decision No. 10 of 2024, and it took effect on 1 March 2024.
The Ministry said the amount matches the late registration penalties for VAT and excise tax, and the FTA's registration page still lists AED 10,000 as of 26 October 2026.

Cabinet Decision No. 129 of 2025 revised several administrative penalties and entered into force on 14 April 2026, according to the FTA as reported by Gulf News. Coverage of it focuses on VAT, excise and tax procedure penalties, and we could not confirm from an official text that it changes the corporate tax registration penalty, so check the current schedule on tax.gov.ae.
Who has to register for corporate tax, and by when?
Every resident company, including free zone companies, has to register, and the deadline depends on when it was incorporated and, for older companies, the month its licence was issued. The deadlines come from FTA Decision No. 3 of 2024, which took effect on 1 March 2024.
| Who | Deadline to apply |
|---|---|
| Resident company incorporated, established or recognised on or after 1 March 2024 (including Free Zone Persons) | Within 3 months of incorporation |
| Resident company that existed before 1 March 2024, licence issued in January or February | 31 May 2024 |
| Licence issued in March or April | 30 June 2024 |
| Licence issued in May | 31 July 2024 |
| Licence issued in June | 31 August 2024 |
| Licence issued in July | 30 September 2024 |
| Licence issued in August or September | 31 October 2024 |
| Licence issued in October or November | 30 November 2024 |
| Licence issued in December | 31 December 2024 |
| Foreign company effectively managed and controlled in the UAE on or after 1 March 2024 | Within 3 months of the end of its financial year |
| Non-resident with a permanent establishment in the UAE on or after 1 March 2024 | Within 6 months of the permanent establishment existing |
| Non-resident with a UAE nexus on or after 1 March 2024 | Within 3 months of establishing the nexus |
| Resident individual doing business in 2024 or later, turnover above the threshold | 31 March of the following year |
Deadlines as set out in FTA Decision No. 3 of 2024, accurate as of 26 October 2026. If a company holds more than one licence, the earliest-issued licence sets its deadline. UAE branches of a domestic company don't register separately, because they form part of the head office.
Individuals register only if their business turnover exceeds AED 1 million in a calendar year; salary, private investment income and real estate investment income are left out of that calculation, per the FTA.
Can the AED 10,000 late registration penalty be waived?
Yes. The FTA waives the penalty when the taxpayer files its first corporate tax return (or annual declaration, for exempt persons) within seven months of the end of its first tax period. The standard limit is nine months, so the waiver asks for filing two months earlier.
The FTA says eligible taxpayers are exempt automatically, with no reconsideration or waiver request needed, and the waiver covers the first tax period only. Where the penalty has already been paid, the AED 10,000 is credited to the taxpayer's EmaraTax corporate tax account. That credit can settle other tax obligations, or you can submit a refund application.
The FTA's July 2025 announcement said 31 July 2025 was the final date to benefit for taxpayers whose first tax period ran from 1 January to 31 December 2024. The registration service page still describes the waiver in general terms, so confirm the current position on tax.gov.ae if your first tax period ended after that.
What should you do if you've already missed your registration deadline?
Register immediately, because the penalty is fixed and waiting adds no discount. The steps below follow the FTA's published process.
- Create a UAE Pass account, since EmaraTax services are available only through UAE Pass.
- Register and activate an EmaraTax account on the FTA portal.
- Open the EmaraTax dashboard and select "New Taxable Person Profile".
- Open the Taxable Person Account, use the "Action" menu under Corporate Tax and choose "Register".
- Complete the application and attach the documents as PDFs, each up to 15 MB.
- Submit the application and note your Corporate Tax Registration Number once the FTA approves it.
- Diarise the first return deadline at seven months from the end of your first tax period, not nine.
The FTA asks for the incorporation documents, the trade licence (including branch licences), Emirates ID and passport for each owner holding more than 25% and for authorised signatories, and proof of the signatory's authority. The service is free, takes around 25 minutes to complete, and the FTA says processing can take up to 20 business days.
If you'd rather not track these dates by hand, the free UAE compliance calendar lists them for your company: a free calendar of your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.
What most guides don't tell you
Your deadline follows the earliest licence, not your newest one. A company that added a second licence in 2023 still works from the month its first licence was issued. Working from the newest licence date can put you months past the real deadline.
The waiver hangs on the return, not the registration. Because the penalty is waived by filing the first return within seven months, the AED 10,000 can be charged first and credited later. Expect it to show in EmaraTax, and if you've already paid it, the credit follows once the qualifying return is filed.
A 0% free zone rate doesn't remove the duty to register. FTA Decision No. 3 of 2024 puts Free Zone Persons in the same registration category as other resident companies, with no profit test attached. Whether you later qualify for the 0% rate is a separate question from whether you had to apply on time.
Start with room to spare. The FTA's own estimate is up to 20 business days to process an application, and the deadlines in Decision No. 3 are application deadlines. Applying in the final week leaves no margin for corrections.
Which deadlines apply to your company?
Registration is only the first corporate tax date; the first return, VAT, licence renewal and other dates follow from it. The free UAE compliance calendar shows the ones that apply to your company, personalised from a few questions.
Frequently asked questions
When do I need to register for corporate tax?
A UAE company incorporated on or after 1 March 2024 must apply within three months of incorporation, and older companies had deadlines between 31 May and 31 December 2024 depending on the month their licence was issued. A resident individual running a business above the turnover threshold applies by 31 March of the following year.
How do I register for corporate tax on EmaraTax?
Activate an EmaraTax account through UAE Pass, create a Taxable Person profile, then choose Register under Corporate Tax and submit the application with your licence, incorporation documents and owner and signatory IDs. The FTA says the service is free and processing can take up to 20 business days.
What is a Tax Registration Number for corporate tax?
It's the Corporate Tax Registration Number a company obtains from the FTA by registering, which you then use for filings in EmaraTax. The FTA's registration page describes obtaining it as the outcome of an approved application.
When is my first corporate tax return due?
The first return is due within nine months of the end of your first tax period, but the FTA's late registration waiver requires filing within seven months. Your first tax period depends on your financial year, so confirm the dates in your EmaraTax account.
What are the penalties for not filing a corporate tax return?
Late and missing returns carry their own administrative penalties, set in Cabinet Decision No. 75 of 2023 and its amendments, separate from the AED 10,000 registration penalty. The framework was revised in April 2026, so check the current schedule on tax.gov.ae for the amounts that apply to your dates.
