Can One UAE Licence Cover E-Commerce and Consulting?

Often yes: SHAMS allows up to 5 activities per licence and IFZA mixes commercial and professional ones. The free zone 5% de minimis test is the catch.

Key takeaways

  • Running e-commerce and consulting on one UAE licence is usually possible, because SHAMS allows up to five activities on a single licence, even across different sectors, as of October 2026.
  • IFZA says its licence can combine commercial and professional activities, and names an e-commerce brand that also sells consultancy as a fit; its standard fee covers up to three activity groups, as of October 2026.
  • A Dubai mainland licence can carry more than one activity, but the Department of Economy and Tourism (DET) says the activities should have something in common, so an e-commerce and consulting mix needs a clear link between the two.
  • The Dubai e-trader licence is a home-based sole proprietorship for individuals, so a company that sells goods and also bills consulting clients needs a different licence type.
  • For a free zone company the licence is rarely the hard part: corporate tax is. Revenue that isn't qualifying income must stay under the lower of 5% of total revenue or AED 5,000,000, or the company loses its 0% free zone treatment.

Can I run e-commerce and consulting under the same UAE licence?

Yes in most cases, provided both activities are on the licence and the issuing authority accepts the combination. Each authority sets its own rules, and the pages checked say the following.

What do Dubai and Abu Dhabi mainland licences allow?

A mainland licence needs an e-commerce activity on it before you sell online, and Dubai expects any extra activities to be related. u.ae says operating online on the mainland requires a commercial licence that includes an eCommerce activity from the emirate's economic department, and that the Telecommunications and Digital Government Regulatory Authority (TDRA) also approves eCommerce operations. The governing law is Federal Decree-Law No. 14 of 2023 on Modern Technology-Based Trade.

DET's own example of a valid link is computer maintenance and computer trade, two activities from different groups. An online shop that sells software or hardware and consults on how to use it has an obvious link; an online fashion shop that also sells tax consulting does not. That second case is an illustration, not a DET ruling.

In Abu Dhabi, the eCommerce licence is designed to be added to a licence you already hold; u.ae lists 1,057 eligible activities, none needing a physical office.

Does the Dubai e-trader licence cover both?

No, not as far as the official page shows. The e-trader licence is issued only as a sole proprietorship, is home-based, and is aimed at individuals selling products or services through social media and online platforms; the owner carries full legal responsibility. Dubai.ae doesn't say whether further activities can be added to it, so confirm that with DET before you plan around it.

What do SHAMS and IFZA say about mixing e-commerce and consulting?

Both free zones say they allow it. SHAMS states that up to five activities fit on one licence even across sectors, and lists consultancy, trading, media and e-commerce among its activities. IFZA says it offers cross business licensing, so commercial and professional activities can sit on a single licence, and it describes an e-commerce brand providing consultancy as a model that works well.

Neither page publishes the fee for each extra activity, so ask for it in writing. IFZA says regulated activities need approval from specified Dubai or federal entities, and Dubai.ae says digital traders must not sell goods or services that need special approval until they have it.

How does corporate tax treat e-commerce and consulting on one free zone licence?

A free zone company keeps the 0% corporate tax rate only on qualifying income, and neither online sales to individuals nor most consulting to mainland customers is qualifying. The FTA's Free Zone Persons guide sets 0% on qualifying income and 9% on taxable income that isn't qualifying income. The activities are defined in Ministerial Decision No. 229 of 2025, which replaces Ministerial Decision No. 265 of 2023, and the income rules sit in Cabinet Decision No. 100 of 2023.

Income lineTreatment for a Qualifying Free Zone PersonWhy
Online sales to individual customersExcluded activity, so not qualifying incomeThe decision excludes transactions with natural persons, with narrow exceptions for ships, funds, wealth management and aircraft financing
Consulting to mainland business customersNon-qualifying revenueConsulting isn't on the list of qualifying activities
Consulting to another free zone companyCan be qualifying incomeIncome from transactions with a Free Zone Person qualifies unless it comes from an excluded activity

Accurate as of 05 October 2026. A mainland company isn't in this regime and is taxed under the standard corporate tax rules. Other conditions apply to qualifying free zone status, so get your facts checked before you add either activity.

5% or AED 5,000,000: the cap on non-qualifying revenue in a tax period, whichever is lower, before a free zone company stops being a Qualifying Free Zone Person. Source: FTA Free Zone Persons Corporate Tax Guide, section 4.4.1, checked 05 October 2026.

If the cap is breached, the FTA guide says the company is taxed under the standard rules from the start of that tax period and for the next four tax periods.

How does VAT work when one company sells goods and consulting?

One licence means one legal entity, so both revenue lines count together toward VAT registration. Mandatory registration applies when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to within the next 30 days, according to the FTA, and u.ae gives AED 187,500 as the voluntary threshold. Say a company sells AED 200,000 of goods and bills AED 200,000 of consulting: neither line crosses the threshold alone, but together they do.

How do I add a second activity to my licence?

You apply to the issuing authority, and the route differs by authority. For a Dubai mainland licence:

  1. List each revenue line and who pays for it: individuals, mainland businesses, free zone companies or overseas customers.
  2. Find both activities on the issuing authority's own activity list and check whether either needs external approval; DET lists external approval as a document for an activity change.
  3. Ask the authority whether it accepts the combination: DET's common link test on the mainland, IFZA's cross business licensing, SHAMS's five activity limit.
  4. Apply at a DET service centre or on the DET website, submit the documents and pay the base amendment fee of AED 500, as of October 2026.
  5. Have the corporate tax and VAT position checked, then set up separate revenue accounts for each line in your books.

What most guides don't tell you

  • The customer decides the tax result, not the licence. Online sales to individuals and consulting to mainland clients both count against the free zone de minimis cap. A company that adds them without checking can move from 0% to standard rules for five tax periods.
  • "E-commerce licence" means different things in different places. Dubai's e-trader licence is a home-based sole proprietorship; Abu Dhabi's is an add-on to an existing licence; a free zone lists e-commerce as one activity among many. The rules don't travel between them.
  • Separate revenue accounts matter. The de minimis test and VAT registration both work from revenue, so one undifferentiated sales account hides the numbers you need. This is reasoned from the rules, not authority guidance.

Which deadlines apply to your company?

Once your activities are fixed, renewal, VAT and corporate tax dates start running against them. The free UAE compliance calendar is a free calendar of your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.

Frequently asked questions

How do I choose the right business activities for my trade licence? List what you will actually invoice over the next 12 to 24 months and who pays for each line. Then match each one to an entry on the licensing authority's own activity list and check it for approval requirements and combination limits.

How many business activities can I add to one licence? It depends on the authority: SHAMS says up to five, IFZA includes up to three activity groups in its standard fee, and DET publishes no number but expects the activities to have something in common. Check the current figure with the authority before you apply.

Do I need a physical office for a UAE trade licence? It depends on the authority and licence type. Dubai's e-trader licence is home-based and Abu Dhabi says its eCommerce licence activities need no physical presence, but this guide didn't verify a single rule for other licence types.

What is a flexi desk and is it enough to get visas? The term usually means a shared desk used in place of a dedicated office, and whether it supports visas depends on the free zone and its rules. This guide didn't verify any zone's flexi desk rule, so ask the zone in writing before you pay.
