UAE Deregistration vs Liquidation: What Each Step Means

Liquidation ends the company; deregistration removes its licence and tax records. See the order of steps, the 3 month corporate tax deadline and penalties.

Key takeaways

  • Liquidation is the legal process of winding a UAE company up: a liquidator collects what's owed, pays creditors and distributes what's left to the shareholders.
  • Deregistration is the removal of a company from a register: the trade licence with the licensing authority, the company's tax registrations with the FTA, and its employer registration with MoHRE.
  • A corporate tax registrant must apply to the FTA to deregister within 3 months of ceasing to exist, ceasing its business, or being dissolved or liquidated (FTA Decision No. 6 of 2023, as of October 2026).
  • Missing that deadline costs AED 1,000, then a further AED 1,000 a month, capped at AED 10,000 (Cabinet Decision No. 75 of 2023, as of October 2026).
  • A VAT registrant has 30 business days from the date the obligation to deregister arises to apply on EmaraTax, and the FTA issues the certificate only after the final return is filed and every liability is paid.
  • A Dubai mainland LLC gives creditors a 45 day window after the liquidation notice; a sole establishment is cancelled instead of liquidated.

What is the difference between deregistration and liquidation in the UAE?

Liquidation ends the company's affairs; deregistration ends its registrations. Liquidation is the legal process for companies with shares or partners, run by a liquidator who settles debts before anything is distributed. Deregistration is the administrative result, and it happens several times over: with the licensing authority, with the FTA for corporate tax and VAT, and with MoHRE.

On the mainland in Dubai, the Department of Economy and Tourism (DET) issues a deregistration certificate only after the liquidation has run its course. The FTA runs its own deregistration tracks, which don't wait for the licensing authority.

How does mainland liquidation work in Dubai?

A mainland LLC, partnership or shareholding company in Dubai must appoint a liquidator and run a creditor claims period before the DET will deregister it. Sole proprietorships and establishments skip liquidation and apply for a straight cancellation, with clearances from MoHRE, the residency authority, the utility authority and the landlord.

For companies that do need a liquidator, the UAE Government portal describes this sequence:

  1. Prepare a notarised general assembly minute approving liquidation and appointing the liquidator.
  2. Obtain a letter from a registered liquidator accepting the role.
  3. Submit the cancellation form to the DET or an approved channel; the DET issues a liquidation certificate.
  4. Publish the liquidation notice in two local newspapers; creditors then have 45 days from the issue date to submit claims.
  5. Submit a declaration from the liquidator and partners that no objections arrived, then collect the other government approvals.
  6. Cancel the company's MoHRE firm card and the visas it sponsors, pay the fees the DET sets, and collect the deregistration certificate.

Private shareholding companies need Ministry of Economy approval, and public shareholding companies need a Securities and Commodities Authority decision. These steps are for Dubai; other emirates run their own departments. The statutory basis for dissolution and liquidation sits in Federal Decree-Law No. 32 of 2021 on Commercial Companies; ask a UAE-qualified lawyer about your own shareholders' agreement.

How is closing a free zone company different?

A free zone company closes under its free zone's own rules, not the DET's, and the steps and timelines vary by zone. DMCC, for example, distinguishes a summary winding up (no liabilities, or liabilities that can be cleared within 6 months, starting with a statement of solvency) from a creditors' winding up that needs a shareholder resolution and a creditors' meeting. Court-ordered bankruptcy is a third route.

In DMCC the closure is announced in a local Arabic newspaper and the director's authority ends once the application is submitted. JAFZA asks for 3 months' notice for an office or warehouse and 6 months for a plot. For SHAMS, IFZA, Meydan or any other zone, get the zone's own closure checklist before you start, because this guide hasn't verified each zone's current terms.

What does FTA deregistration require for corporate tax and VAT?

Corporate tax and VAT are deregistered separately on EmaraTax, each with its own deadline and its own precondition: the filings must be up to date and the tax paid. The licensing authority's cancellation doesn't switch either of them off.

In what order should you close the company's registrations?

Start the FTA clocks first and keep the filings current while the liquidation runs. The corporate tax deadline is measured from the event, not from when the licensing authority finishes, so waiting for the licence certificate before thinking about tax is how penalties happen.

  1. Decide the closure route: cancellation for a sole establishment, liquidation for a company, or a free zone winding up.
  2. Appoint the liquidator and file the licensing authority's cancellation form (mainland), or lodge the free zone application.
  3. Note the date the business ceased; the corporate tax 3 month deadline runs from the cessation, dissolution or liquidation event.
  4. File the final corporate tax return and VAT return on EmaraTax, and pay what's due.
  5. Apply for corporate tax and VAT deregistration on EmaraTax, with the documents the FTA lists for the ground you choose (for a cancelled licence: the cancellation certificate, the liquidation letter, a board resolution and a turnover template).
  6. Cancel the MoHRE firm card and employee visas, then settle the final payments to staff.
  7. Collect the licensing authority's deregistration certificate, then close the bank accounts, utilities and lease.

Say a Dubai LLC stops trading on 30 November 2026. The corporate tax deadline would fall around the end of February 2027, and the 45 day creditor window and the licensing authority's approvals may well still be running by then (hypothetical dates, for illustration).

If you'd rather not track these dates by hand, the free UAE compliance calendar lists them for your company: a free calendar of your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.

What most guides don't tell you

The documents list ties VAT deregistration to the licence cancellation. The FTA's service page lists the trade licence cancellation certificate and a liquidation letter among the documents for a business that has cancelled its licence. So the VAT application tends to follow the licensing steps, while its 30 business day deadline is already running; plan the sequence so neither clock is missed.

An unfiled return blocks the exit. The FTA's registration guide gives an example of a company that ceased trading on 31 December 2025 and applied three days later: its 2025 return still had to be filed and the tax paid before approval. Closing the books is part of the closure, not an afterthought.

A dormant licence is a pause, not an exit. Dubai allows a licence to be kept inactive for up to three years by paying a freezing fee, with a MoHRE letter confirming nobody is sponsored on it and a DET inspection report. That suits a company you're coming back to; it doesn't remove the tax registrations or filing duties.

Which deadlines apply to your company?

The FTA deadlines above start from events in your own company's timeline, so the dates are specific to you. A few answers about your company are all it takes to get its tax and compliance deadlines as a PDF and calendar file from the free UAE compliance calendar.

Frequently asked questions

How long does it take to liquidate a company in Dubai?

The UAE Government portal gives fixed periods rather than a total: a 45 day creditor claims window on the mainland, a 6 month solvency horizon for a DMCC summary winding up, and up to 30 business days for the FTA to process a complete VAT deregistration application. The total depends on creditors, approvals and how complete your filings are.

Do I need to deregister for VAT and corporate tax before closing my company?

You need to apply to deregister for both, and the FTA will approve each only after your returns are filed and your tax and penalties are paid. The corporate tax application is due within 3 months of ceasing business or being dissolved or liquidated, and the VAT application within 30 business days of the obligation arising.

What happens to employee visas when I close my company?

The company must cancel its MoHRE firm card and the visas it sponsors as part of the closure, and the UAE Government portal lists this step before the licensing authority issues the final certificate. Employees' final payments and notice depend on their contracts and UAE labour law, so confirm those separately.

Can I just abandon my UAE company and leave the country?

No: a company that's left alone keeps its licence obligations and its FTA registrations, and a corporate tax registrant that never applies to deregister can accrue penalties of up to AED 10,000. Closing it properly through a cancellation or liquidation is what produces the certificates you'll need later.

What are the consequences of not closing a dormant company?

A dormant company that stays registered keeps its filing duties with the FTA until the FTA approves deregistration, and an unrenewed licence keeps accruing fines. In Dubai, a licence can be frozen for up to three years for a fee, but not longer.
