Key takeaways
- Adding or removing a shareholder in a UAE LLC means transferring shares under an authenticated document and getting the change entered in the commercial register; until that entry, the transfer is not enforceable against the company or third parties (Federal Decree-Law No. 32 of 2021, Article 79).
- A UAE LLC shareholder selling to an outsider must first offer the shares to the other shareholders, who have 30 days from the manager's price notice to buy (Federal Decree-Law No. 32 of 2021, Article 80).
- A UAE company must update its beneficial owner and partners or shareholders registers within 15 days of a shareholder change, and repeat failures carry fines of AED 15,000 and then AED 30,000 (Cabinet Decisions No. 109 and No. 132 of 2023).
- A Dubai mainland amendment costs AED 500 for the licence request, plus contract annex fees of AED 300 per signing party or 0.5% of the value capped at AED 15,000, as of October 2026 (Dubai Economy).
- A UAE registrant must notify the FTA of changes to its tax record data, including its articles of association, within 20 business days (Cabinet Decision No. 74 of 2023, Article 6).
- A UAE company's carried-forward tax losses survive an ownership change only if the same persons keep at least 50% throughout and the business stays the same or similar (Federal Decree-Law No. 47 of 2022, Article 39).
Who can add or remove a shareholder in a UAE company?
Any shareholder in a UAE LLC can assign their interest to another shareholder or a third party, but the memorandum of association (MOA) sets the conditions, and the company can refuse to register a transfer only if it breaches the MOA or the law (Federal Decree-Law No. 32 of 2021, Article 79).
Amending the MOA or changing capital needs partners holding at least three quarters of the interests represented at the general assembly; anything that increases partners' financial obligations needs unanimous consent (Article 101). A shareholder normally leaves by selling; on a death, the 2025 amendments give surviving shareholders or the company priority to buy the shares at an agreed value, with court-appointed experts setting the price if there's no agreement (Ministry of Economy and Tourism, January 2026). A sole establishment has one owner, so adding a second generally means changing legal form; ask your licensing authority which route it uses.
What are the steps to add or remove a shareholder?
The sequence is similar everywhere, though portals and document lists differ by authority.
- Read the MOA for transfer restrictions, consent rules and pre-emption terms.
- If the buyer isn't a shareholder, have the seller notify the other shareholders through the manager (Article 80) and wait out the 30-day window, unless every shareholder waives it in writing.
- Sign the share transfer agreement or the authority's transfer form.
- Pass the shareholder resolution approving the amended MOA and have it authenticated; the amendment must be in Arabic and authenticated as the Competent Authority requires (Article 14).
- File on the licensing authority's system: Dubai Economy's "Request to Amend a Trade License" for Dubai mainland, the AXS portal at Dubai Development Authority (DDA), or the Member Portal at DMCC. Dubai Economy asks for the trade licence, a tenancy copy and a no-objection letter.
- Wait for the commercial register entry, which is when the amendment takes effect (Article 15).
- Update the registers, the FTA record and your bank within the deadlines below.
Do existing shareholders get first refusal on a share sale?
Yes, when the buyer is an outsider: each shareholder can elect to buy within 30 days of the manager notifying the agreed price (Article 80). If the price is disputed, experts nominated by the Competent Authority value the interest at the applicant's expense; several buyers split the interest in proportion to capital contributions, and if nobody buys within 30 days the seller may dispose of it freely. The 2025 amendments recognise drag-along and tag-along rights in LLCs, but law-firm commentary reads them as still subject to pre-emption, so a shareholders' agreement should address it expressly (Cleary Gottlieb, December 2025).
How much does it cost and how long does it take?
Fees and timelines depend on where the company is licensed. These are the published numbers:
| Authority | Published fee | Published timeline |
|---|---|---|
| Dubai Economy (Dubai mainland) | AED 500 for the licence amendment request; contract annex AED 300 per party signature if the sale value is under AED 100,000, or 0.5% of the value capped at AED 15,000 above that | Not published |
| DDA (Dubai Studio City, Dubai Knowledge Park) | AED 3,000 per transaction; AED 500 for the Articles of Association amendment (the page doesn't say whether this is additional); AED 10 Knowledge Dirham and AED 10 Innovation Dirham | 5 working days |
| DMCC | Not published on the guide; see DMCC's schedule of charges | 2 to 3 weeks |
| Other free zones and emirates | Check the authority's own fee schedule | Check the authority |

Which registers and deadlines apply after the change?
Three clocks start when a shareholder changes, and they run in parallel.
| Obligation | Deadline | Source | Consequence of missing it |
|---|---|---|---|
| Update beneficial owner and partners or shareholders registers | 15 days from the change | Cabinet Decision No. 109 of 2023, Article 15 | Written warning first; AED 15,000 on the second violation and AED 30,000 on the third (Cabinet Decision No. 132 of 2023) |
| Notify the Competent Authority and Registrar of changes to registered particulars | 15 working days | Federal Decree-Law No. 32 of 2021, Article 15 | Not verified; confirm with the Competent Authority |
| Notify the FTA of changes to tax record data | 20 business days | Cabinet Decision No. 74 of 2023, Article 6 | AED 1,000 first violation; AED 5,000 if repeated within 24 months (Cabinet Decision No. 75 of 2023) |
Accurate as of 13 October 2026. The FTA's grace period for updating tax records without penalty ran from 1 January 2024 to 31 March 2025 and has ended.

Article 6(4) lists legal entity type and the articles of association among the data to keep current but doesn't name ownership. Because a share transfer almost always amends the MOA, treat it as an FTA trigger and check your EmaraTax profile once the licence is reissued.
How does a change in shareholders affect corporate tax?
A shareholder change matters for corporate tax mainly through losses: carried-forward tax losses survive only if the same persons continuously owned at least 50% of the company from the loss period to the period of use (Federal Decree-Law No. 47 of 2022, Article 39). If ownership changes by more than 50%, the company must also keep conducting the same or a similar business.
The factors weighed include whether the company still uses largely the same assets and core operations, so get advice on your facts. Losses can also offset only 75% of taxable income before relief in any year (Article 37). Tax on a seller's gain depends on the seller's own position; get advice before you sign.

What most guides don't tell you
- Signing isn't completing. The transfer isn't enforceable against the company or third parties until register entry (Article 79), so don't hand over signing authority on the day the agreement is signed.
- One absent shareholder can stall the filing. Law-firm commentary notes that notary practice has historically required all shareholders to take part in share transfers and MOA amendments (Greenberg Traurig, February 2026). Arrange powers of attorney before signing day.
- The 15-day UBO clock needs a start date. Article 15(2) counts from "the date of the amendment or change", without saying whether that's signing or register entry. Filing within 15 days of signing removes the argument.
- Side effects are separate. A leaving shareholder's company-sponsored visa and the bank's signatory and KYC records aren't updated by the licence amendment; no bank deadline is published, but expect requests for the amended MOA.
Which deadlines apply to your company?
A shareholder change sets off deadlines with the registrar, the UBO register and the FTA. The free UAE compliance calendar is a calendar of your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.
Frequently asked questions
How do I transfer shares in a UAE LLC?
The transfer follows the MOA and is made under an authenticated document, and it's enforceable against the company and third parties only once it's entered in the commercial register (Federal Decree-Law No. 32 of 2021, Article 79). A sale to a non-shareholder also triggers the 30-day pre-emption notice to the other shareholders (Article 80).
How do I change the manager or director of my company?
A manager change is an amendment to your licence particulars, handled through your licensing authority; changes to registered particulars must be notified to the Competent Authority and the Registrar within 15 working days (Federal Decree-Law No. 32 of 2021, Article 15). Forms differ by authority.
How do I increase share capital in a UAE company?
Changing capital requires partners holding at least three quarters of the interests represented at the general assembly, and it takes effect only once entered in the commercial register (Federal Decree-Law No. 32 of 2021, Articles 101 and 15). Dubai Economy publishes a separate fee basis for capital changes.
Can I change my company's legal form from sole establishment to LLC?
The 2025 amendments let companies convert between legal forms, but the Ministry's summary doesn't say whether a sole establishment can convert directly (Federal Decree-Law No. 20 of 2025). Ask your licensing authority whether it offers conversion or requires a new LLC licence.
