Abandoning a UAE Company: Penalties, Liability & How to Exit

Can you abandon a UAE company and leave? FTA penalties keep running: AED 1,000 a month for late deregistration, max AED 10,000. Here's the exit route.

Key takeaways

  • A UAE company can't be abandoned without consequences: leaving the country doesn't cancel the company's licence, its FTA registrations or its filing duties, so the company keeps accruing penalties until it's formally closed or deregistered.
  • A UAE company must apply to deregister for corporate tax within 3 months of the date it ceases to exist, whether by cessation of business, dissolution or liquidation (FTA Decision No. 6 of 2023, in force since 1 June 2023).
  • A late corporate tax or VAT deregistration application costs AED 1,000, then AED 1,000 on the same date each month, capped at AED 10,000 for each tax (as of 16 October 2026).
  • A manager of a UAE LLC can be held liable to the company, its partners and third parties for losses caused by a breach of the law, the memorandum of association or gross error (Article 84(1), Federal Decree-Law No. 32 of 2021), so a manager who leaves without closing the company carries personal exposure.
  • A Dubai mainland company whose licence expired more than two years ago has its own cancellation route, which asks for an undertaking from the local partner that he is liable for the company's debts (Dubai.ae, as of 16 October 2026).

Can you legally abandon a UAE company and leave the country?

You can leave the UAE, but you can't leave the company behind and expect its obligations to stop: it stays on the licensing authority's register and the FTA's register, with its filing duties and penalties, until it's formally closed or deregistered. None of the official pages we checked treat an owner's departure as a way to end a company's obligations.

The UAE government's free zone closure guidance lists the proper sequence: a shareholder resolution, cancelling all employee and investor visas, settling outstanding financial obligations, deregistering with the FTA where applicable, then a licence cancellation or liquidation application. For the mainland, u.ae says cancelling a licence tells the authorities you've stopped operating and helps you avoid fines and penalties for not renewing it.

What penalties build up if you leave the company open?

A company that stays registered with the FTA keeps owing returns and keeps attracting penalties, and the late deregistration penalty alone reaches AED 10,000 for each tax. The table shows the main FTA penalty rows that apply to a company that stops trading but never closes its registrations.

Say a SHAMS consulting company stops trading on 1 January 2027 and its owner leaves without filing anything. The three month window closes on 1 April 2027, the first AED 1,000 penalty follows, and the AED 10,000 cap is reached after ten monthly charges, before any unfiled return penalty is counted. This is a hypothetical case; exact dates depend on when the business is treated as having ceased.

If you'd rather not track these dates by hand, the free UAE compliance calendar lists them for your company.

Does the FTA close an abandoned company's registration for you?

The FTA can deregister a company on its own initiative, but it isn't obliged to, and the law doesn't say the penalties then disappear. Article 52(4) of Federal Decree-Law No. 47 of 2022 lets the FTA deregister a person that hasn't met the deregistration requirements, "at its discretion and based on information available to the Authority". Nothing in Article 52 says accrued penalties are cancelled when the FTA acts on its own, so planning around it isn't safe.

Are you personally liable if you abandon your company?

A manager of a UAE LLC can be personally liable, because Article 84(1) of Federal Decree-Law No. 32 of 2021 makes the manager liable to the company, the partners and third parties for fraud, for losses from improper use of powers, for breaching the law or the memorandum of association, and for gross error. Whether leaving a company unfiled and unpaid meets that test is a legal question for your adviser, and it turns on the facts.

Record keeping also continues: the corporate tax law (Article 56) requires records for seven years after the end of the relevant tax period, so someone has to hold the books.

Can unpaid claims against an abandoned company lead to a travel ban?

They can, if a claim is brought against you personally: u.ae says you may have a travel ban if you have an ongoing legal case in the UAE, or any claim that prohibits you from travelling. We didn't find an official page saying a departed owner is banned automatically, so the risk depends on whether a creditor or authority pursues you. u.ae lists the Dubai Police financial cases service, the Abu Dhabi Judicial Department's eServices and the Public Prosecution's case enquiry portal as places to check before you travel.

What if your licence expired while you were away?

A Dubai mainland company whose licence expired more than two years ago has a separate cancellation route, and it asks for more than a normal closure. Dubai.ae lists these requirements as of 16 October 2026:

RequirementDetail
Local partner undertakingA written undertaking that he is liable for the company's debts
Reason for cancellationDocuments supporting the reason, for example proof that a partner has been abroad for an extended period
Public announcementOne-day announcement in Arabic newspapers, with a short window for debtors to submit claims (u.ae lists 15 days)
No liabilitiesA completed undertaking that the company has no recorded liabilities, from authorised service centres
Newspaper and labour cardsThe original newspaper and labour card cancellation with MOHRE

Free zones, other emirates and other company forms follow their own rules, so confirm the route with the authority that issued your licence.

How do you close a UAE company if you've already left the country?

You close it the same way as anyone else; what changes is that every signature, attestation and payment has to be arranged from abroad.

  1. Hold a shareholder resolution approving the closure, and ask your licensing authority whether it can be signed and attested abroad.
  2. Cancel all employee and investor visas, and cancel labour cards with MOHRE (Dubai requires this before the licence is permanently cancelled).
  3. Settle outstanding financial obligations, including final returns and tax due.
  4. Apply to deregister for VAT on EmaraTax within 30 business days of the date the obligation arose, and file the final VAT return within 28 days of the effective deregistration date.
  5. Apply to deregister for corporate tax on EmaraTax within 3 months, attaching the licence cancellation document and financial statements up to that date; the FTA says it processes a complete application within 40 working days.
  6. Submit the licence cancellation or liquidation application to your authority; a Dubai commercial company in liquidation also publishes a notice giving creditors 45 days to claim.

What most guides don't tell you

  • Leaving the country doesn't start or stop any clock. The corporate tax window runs from the date the entity ceases to exist, including by cessation of business, dissolution or liquidation, not from your flight.
  • You can't file the deregistration until the books are current. Article 52(2) requires all returns, including the return up to the cessation date, to be filed and all tax and penalties paid, so an owner who left without bookkeeping faces a backlog before the FTA will close anything. Catch-up accounts for the missing period are the real first task.
  • Abandonment can land on your partner. The Dubai route for licences expired over two years asks the local partner to sign a liability undertaking, so if you have one, walking away puts a document and a debt in front of someone else. This is our reading of the requirement.

Which deadlines apply to your company?

Your deadlines depend on the date your business stopped, the taxes you're registered for and the authority that issued your licence. The free UAE compliance calendar is a calendar of your company's UAE tax and compliance deadlines, personalised from a few questions, as a PDF and calendar file.

Frequently asked questions

What are the consequences of not closing a dormant company?

A company that stays registered keeps its FTA filing duties: a late deregistration application costs AED 1,000 a month up to AED 10,000, and a late corporate tax return costs AED 500 per month for the first 12 months, then AED 1,000. Its managers also keep the exposure described in Article 84(1) of the Commercial Companies Law.

How do I make my UAE company dormant?

The official FTA and u.ae closure pages we checked describe cancellation and liquidation, not a dormant status, so ask your licensing authority whether it offers one. The FTA's deregistration service lists reasons such as liquidation and business closure, and a registered company's filing duties continue until the FTA deregisters it.

Do I need to deregister for VAT and corporate tax before closing my company?

You apply to deregister from VAT within 30 business days of the date the obligation arose, and from corporate tax within 3 months of cessation, dissolution or liquidation. Both clocks run from the event, not from the licence cancellation date, so you don't wait until the company is struck off.

What happens to employee visas when I close my company?

The UAE government's free zone closure guidance lists cancelling all employee and investor visas before the licence cancellation or liquidation application. In Dubai, labour cards must be cancelled with MOHRE before the trade licence is permanently cancelled.

How long does it take to liquidate a company in Dubai?

No official source gives one total. The Dubai process includes a 45 day creditor claim window after the newspaper notice, then the FTA's estimates of 40 working days for corporate tax and 30 business days for VAT deregistration.
